What advantage does the Stockholders' Portal offer me?
The Stockholders' Portal offers you the opportunity to register quickly, reliably and easily for the Annual Stockholders' Meeting of Bayer AG and to order one proxy card to an authorized person. Further, proxies and instructions can be issued online. As usual you may exercise your voting rights via postal vote. Alterations and cancellations can be made easily.

In addition, you can register on our Stockholder Portal for future e-mail mailings of invitations to the Annual Stockholders' Meeting, take a look at the data you have entered in the share register and, if necessary, notify us of changes of address.
How do I obtain my access data?
Are you registered for the Stockholders' Portal already?
Stockholders who use the Stockholders' Portal should log in with their self-assigned user ID and self-assigned password. If you no longer have this at hand, please contact our Stockholders' Meeting Services using the contact information given below.
Not yet registered for the Stockholders' Portal?
Stockholders who are not yet using the e-mail service should log in using the stockholder number and individual access number which were sent to them with the invitation to the Virtual Annual Stockholders' Meeting 2020 of Bayer AG. The access data will be valid until end of March 2021.
What should I do if I have forgotten my access data?

Until when can I register for the Virtual Annual Stockholders' Meeting of Bayer AG?
In order to participate in the Virtual Annual Stockholders' Meeting and exercise voting rights, timely registration is required in addition to the shareholder's entry in the share register. The deadline for registration for this year's Virtual Annual Stockholders' Meeting 2020 of Bayer AG is April 21, 2020, 24:00 hours (CEST).

In addition to the other options specified in the notice of the Annual Stockholders' Meeting, registration is possible directly in the Stockholders' Portal by ordering a proxy card for a representative of the company, exercising your voting rights by postal vote or issuing power of attorney and instructions to the proxies of Bayer AG for the Virtual Annual Stockholders' Meeting by April 21, 2020, 24:00 hours (CEST).

Due to the shortened deadline for notification of the convening of the General Meeting in accordance with Section 125 Paragraph of the German Stock Corporation Act, Section 1 Paragraph (3) of the COVID-19 Act and the registration period expiring on April 21, 2020, 24:00 hours (CEST), the proxy cards will be sent only once. A revoked and then newly ordered proxy card would possibly be received too late by your proxy holder by mail.
How is my personal data that I provide for the Virtual Annual Meeting 2020 of Bayer AG and within the Stockholders' Portal protected?

Can I appoint someone to represent me at the Virtual Annual Meeting 2020 of Bayer AG and issue a proxy and instructions prior to the Annual Stockholders' Meeting?
Proxies can be issued via the Stockholders' Meeting Service on the Stockholders' Portal at www.stockholders-portal.bayer.com up to April 21, 2020, 24:00 hours (CEST). Amendments to instructions can still be made until April 28, 2020 up to the time at which the chair of the Meeting announces that voting on the agenda items will soon be concluded. 
Where can I see proposals?
Pursuant to Section 1, Paragraphs 1 and 2 of the COVID-19 Act, the Board of Management has resolved that the Annual Stockholders’ Meeting 2020 be held in the form of a virtual meeting without the physical presence of stockholders or their proxy holders and that stockholders’ votes during the virtual meeting be cast primarily by electronic means. The rights of stockholders to submit motions and proposals for election relating to items of the agenda or the rules of procedure are excluded according to the legal concept underlying the COVID-19 Act. Stockholders are nevertheless offered the opportunity, in analogous application of Sections 126 and 127 of the AktG, to submit countermotions and proposals for election ahead of the Virtual Annual Stockholders’ Meeting as provided in the following.

The Company will make available any such countermotions and proposals for election including the name of the stockholder, the reasons (although this is not required for proposals for election), and any statement by the management, and in the case of proposals for the election of Supervisory Board members, the statements and information from the Board of Management regarding the composition of the Supervisory Board in accordance with Section 127, Sentence 4 of the AktG in conjunction with Section 96,Paragraph 2 of the AktG at www.bayer.com/stockholders-meeting, provided the stockholder has sent the information to the Company at least 14 days before the Meeting, i.e. by 24:00 hours CEST on Monday, April 13, 2020, at the following address:

and the other requirements under Sections 126 and 127 of the AktG have been met.

In line with the concept of the COVID-19 Act, however, such countermotions and proposals for election will not be put to a vote or otherwise dealt with during the Meetings.
After using the Stockholders' Meeting Service, do I also have to register for the Stockholders' Portal?
No. You can also use the Annual General Meeting service for registration/proxy card ordering for an authorized person, postal voting or registration with granting of power of attorney and instructions to the Company's proxies independently of registration in the shareholder portal.
You will not miss any information if you choose to receive the invitation to Bayer's Stockholders' Meetings by e-mail.
Of course, it is entirely your choice whether or not you wish to use electronic delivery.
Will the Annual Stockholders' Meeting be transmitted via Internet?
The Virtual Annual Stockholders’ Meeting on Friday, April 28, 2020 will be broadcast on the internet in its entirety at www.bayer.com/stockholders-meeting. You will find the recording on our website after the event.
Can I vote via Internet?
Voting rights for the Virtual Annual Stockholders' Meeting 2020 of Bayer AG by postal vote or via the proxies of Bayer AG can be exercised up to and including April 28, 2020 until the time at which the chair of the Meeting announces that voting on the agenda items will soon be concluded). This requires that Bayer AG has received registration for the Virtual Annual Stockholders' Meeting by April 21, 2020, 24:00 hours (CEST).

Why does the company have an e-mail service?
Direct contact to and timely information of our stockholders are very important to us. That is why we are offering you the opportunity to use the fast and environmentally-friendly method of electronic delivery.
What advantage does the e-mail dispatch offer me as a stockholder?
With the e-mail service you may request the invitation to the Stockholders' Meetings of Bayer AG by electronic means. E-mail dispatch replaces postal delivery. You will not loose out on any information if you choose to receive the invitation to Bayer's Stockholders' Meetings by e-mail.
How can I use this service if I'm not yet registered?
To be able to send you the invitation to the Stockholders' Meeting by e-mail, we would like to ask you to log in online at www.stockholders-portal.bayer.com using your stockholder number and your individual access number. Once you are logged in, you can then choose your self-assigned user ID and self-assigned password. To confirm the e-mail address you have given us, an activation code will be sent to you by e-mail, which is valid for 96 hours. Please note that you can only make use of this service with a valid e-mail address.
Please keep your self-assigned access data. You may use your credentials to log in to our service year-round and within the registration period for the next Annual Stockholders' Meeting.
I am already registered but I've forgotten my user ID. What should I do?

I have forgotten my password or wish to change it. What should I do?
Please go to the Start Page and enter your self-assigned user ID. Leave the password field empty and click on "Start". On the following page, you will be able to request a new password. To do this, you will need to answer your chosen security question. Click on "Generate". A new password will be sent to your registered e-mail address. On the Start Page, enter your self-assigned user ID and the new password. The next step requests you to change your password.
I entered my password incorrectly several times and it is now blocked. What should I do?

How can I alter my e-mail service order or inform you of a new e-mail address?
Please login to the Stockholders' Portal with your self-assigned access data. To enter changes, e.g. your e-mail address please go to "update your data in the share register", enter your new e-mail address and finalize by clicking "Save".

I'm not being transferred. Why not?
Perhaps the use of cookies is deactivated in your browser (eg. Microsoft Internet Explorer, Edge, Safari, Google Chrome or Mozilla Firefox). You can check and change this in your browser settings.
What browser can I use?
You need a browser with 256-bit SSL encoding. We would recommend current versions of Microsoft Internet Explorer, Edge, Safari, Google Chrome or Mozilla Firefox.
What technology does the Company use to guarantee that my registration is secure?
The company provides you with registration for the Stockholders' Portal via a secure connection. Access is protected by entry of the stockholder number and the individual access number. After entry of the activation code which is sent to you immediately after your first registration in a separate e-mail, access is protected by your self-assigned user ID and password. If you don't receive an activation code via e-mail, you can re-enter your e-mail address and request a new activation code.
The Company uses the latest Commerce Secure Server with RSA encoding. This means that the connection is protected by a 256-bit Secure Socket Layer or SSL protocol. This protocol ensures that the confidential data exchanged between your secure Internet browser and our secure servers are protected.
How can I make sure that my Internet connection is secure?
The address is one way to recognize a secure Internet connection.

If it starts with "https", this is a sign of a secure connection (e.g. https://domainname.com). Another indication is the symbol of a "locked padlock" in the status bar of your browser. Whether the address bar and status bar are shown on your screen depends on your individual browser settings.

The Stockholders' Portal is running on an https-URL, therefore a secure connection. 
What should I do if the connection to online registration in the Stockholders' Portal is broken during registration?
Normally after registration and after entering your self-assigned user ID and password you will receive an e-mail with an activation code which is valid for 96 hours. After entering this code on the confirmation page, your access is activated. If you don't receive an e-mail, you can re-enter your e-mail address at the bottom of the confirmation page and request a new activation code.
If the connection is broken
before registration is confirmed
The new registration was not successful, i.e. you have to go back to the registration page and re-enter your stockholder number and individual access number and repeat all steps of the registration process.
after confirmation of registration
To activate your registration, you need to enter your self-assigned user ID and password on the registration page. After entering the activation code from the e-mail, your access is activated.
